NOTICE OF SPECIAL MEETING OF THE
INDUSTRIAL DEVELOPMENT BOARD OF THE
CITY OF LAWRENCEBURG
NOTICE IS HEREBY GIVEN that The Industrial
Development Board of the City of Lawrenceburg (the “Board”) will
meet in public session in the Council Meeting Room, 25 Public
Square, Lawrenceburg, Tennessee on Monday, March 18, 2019
at 12:00 p.m. for the purpose of considering and transacting
all business which may properly come before the Board, such
business to include, but not be limited to, authorizing all documents
and matters necessary or desirable in connection with (i) the sale
by ISS Enterprises, LLC (the “Seller” ) of its interest in certain
property located at 100 Hannon Drive, Lawrenceburg, Tennessee
(the “Project”) to Booker Assets TN, Inc. (the “Buyer”), which
property is currently under lease with the Board; (ii) the issuance
of $3,000,000 of Industrial Development Bonds (Booker Assets
TN, Inc. Project) Series 2019 (the “Bonds”) proposed to be issued
by the Board to fi nance in part the cost to be incurred by Buyer
in acquiring the Project; (iii) the execution and delivery of a Lease
Agreement proposed to be entered into with Buyer pursuant to
which Buyer will lease the Project from the Board; (iv) the execution
and delivery of a Payment In Lieu Of Tax Agreement proposed to
be entered into with Buyer pursuant to which buyer’s ad valorem
taxes with respect to the Project will be abated; (v) the execution
and delivery of a Bond Purchase Agreement proposed to be
entered into with Buyer pursuant to which Buyer will purchase the
Bonds in the name of Seller; (vi) the execution and delivery of an
Assignment Agreement and Deed of Trust proposed to be entered
into to secure the Bonds and the note to be delivered by Buyer in
connection with its acquisition of the Project; and (vii) taking such
additional action and approving such additional documents and
matters as may properly come before the Board.

NOTICE OF HEARING
Notice is hereby given of a hearing
before the Zoning Board of Appeals
on Monday, March 25, 2019, at 8:30
AM in the council meeting room of the
Lawrenceburg Municipal Building,
located at 25 Public Square.
The board will hear the request
from The Way RNC concerning
their property on Scott Street. The
Way RNC is requesting a “special
exception” in order to build multifamily
senior living housing units.
The zoning ordinance requires ZBA
approval.
All interested parties are invited to
attend.
